
STATUTE
OF THE INSTITUTE FOR SUSTAINABLE DEVELOPMENT
Article 1
General Terms
INSTITUTE FOR SUSTAINABLE DEVELOPMENT, based in Tetovo, str. Blagoja Toska, Block. 82/DA-14, is a non-governmental and non-profit organization.
As an association of citizens, it operates in accordance with the Law on Associations of Citizens and Foundations, Official Gazette of the Republic of Macedonia No. 31/98 of 02.07.1998, and has the following basic goals and tasks:
INSTITUTE FOR SUSTAINABLE DEVELOPMENT stands for creation, implementation and analysis of economic measures for development and economic development policies that are essential for sustainable development. The more extensive scope of work of the INSTITUTE FOR SUSTAINABLE DEVELOPMENT included various analyzes related to regulation, laws and the creation of a sustainable business climate for investments, encouraging the Institute for living standards, employment, labor rights, international trade, infrastructure projects, public finances and sustainability standards.
The INSTITUTE FOR SUSTAINABLE DEVELOPMENT also advocates for the development of mechanisms and social policies that will assess changes in the environment, demographic values, impact on people’s lives and safety (health).
INSTITUTE FOR SUSTAINABLE DEVELOPMENT stands for choosing innovative systems for electricity production, finding cheaper energy systems, renewable energy sources, encouraging new thinking about energy efficiency, without forgetting the mandatory implementation of international obligations to preserve the planet Earth and climate change.
Depending on the possibilities and circumstances, alone or in cooperation with other NGO associations or institutes with a similar character as ours, we will try to establish cooperation and joint implementation of activities and projects of a developmental and sustainable nature.
We will support and encourage young students, entrepreneurs, and members of academic institutions, who will want to volunteer to collaborate in projects and activities of a public nature.
Cooperation with all associations, associations and foundations inside the country and outside, which share the same development interests and which will contribute to the more effective realization of our goals and tasks of this program.
Our activities will not be limited in space and time, the activities that we will undertake will initially be concentrated in the Republic of North Macedonia, but the main goal is the inclusion of more people regardless of their ethnic, religious and political affiliation, all with the aim of realizing the noble tasks of the association of general development interest of the citizens of the Republic of North Macedonia.
Article 2
The realization of the rights of the members of the bodies of the INSTITUTE FOR SUSTAINABLE DEVELOPMENT is based on the constitutional principles, the law, this statute and other general acts.
Article 3
INSTITUTE FOR SUSTAINABLE DEVELOPMENT – Tetovo is a legal entity with all rights based on the law and this statute.
Article 4
The name of the association is – INSTITUTE FOR SUSTAINABLE DEVELOPMENT and hereinafter referred to as the Institute.
Article 5
The seat of the Institute is in Tetovo, ul. Blagoja Toska, no. Block 82/DA-14.
Article 6
The sign (logo) of the association consists of a green-yellow triangle in the middle of the field which is surrounded by figures symbolizing the development of urban infrastructure in green, while the lower part of the circle is marked in blue and is associated with water and life. In the form of a circle, on the outer part of the logo, a text is written in Albanian, Macedonian and English, which reads: Institute for Sustainable Development.

Article 7
The area of activity and sphere of interest of the Institute is the Republic of North Macedonia, while the realization of the goals and tasks will be carried out according to the foreseen program of the Institute.
Article 8
The institute has a round seal and stamp.
The seal has a round shape with a diameter of 4 cm, with inscribed text in Albanian, Macedonian and English, which reads: INSTITUTE FOR SUSTAINABLE DEVELOPMENT.
In the center of the seal is the logo of the Institute.
Article 9
The institute regulates the symbols and other signs with special acts.
Article 10
The realization of the goals and tasks of the Institute:
– The association’s activity code: 94.99 – Activities of other membership-based organizations not mentioned elsewhere.
– Creating, implementing and analyzing economic measures for development and economic development policies that are essential for sustainable development.
– Public policy research and advocacy aligned with EU priorities, promotion and implementation of EU policies and programmes, creating a sustainable business climate for investments, encouraging living standards, employment, labor rights, international trade, infrastructure projects in order to contribute to rapid and sustainable development, public finances and sustainability standards.
– Developing mechanisms and social policies that will evaluate changes in the environment, demographic values, impact on life, health protection and safety at work.
– Choosing innovative systems for electricity production, finding cheaper energy systems, renewable energy sources, encouraging new thinking about energy efficiency, without forgetting the mandatory implementation of international obligations to preserve the planet Earth and climate change.
– Implementation of social and demographic analyses, with special emphasis on the social inequality of the society, data that will help the society and the institutions of the state to implement measures and policies to improve the standard of living and the quality of life.
Article 11
The association disposes and manages its own funds, which it uses with its work and existence.
Article 12
Funds of the Institute
The association acquires funds in the following ways:
– Donations from members of the association and other interested persons to achieve the same goals of the organization.
– Gifts and donations for various
– Other income in accordance with the law
Article 13
Membership in the association is voluntary, but only those persons who accept the Institute’s program, and who have been accepted in advance by the Institute’s admissions committee, acquire the status of a member.
Article 14
The status of the member of the association is obtained by signing the act of membership. The status of a member of the Association is obtained by signing the membership act.
Article 15
Members of the association have the right to:
– Participation in the activities of the association towards the realization of program activities in accordance with this statute and other general acts.
– Taking initiatives to consider issues of special interest to the association and proposing solutions for them.
Article 16
The members of the Institute are obliged to:
– With their work, to contribute to the realization of the goals of the association.
– With their behavior and action to popularize the Institute, and to carry out the decisions of the association.
– To perform other tasks adopted by the assembly, the executive council and the president in accordance with the statute.
Article 17
Membership in the association ends with:
– Voluntary withdrawal
– Shutdown
Article 18
Membership in the institute ceases exclusively if the member:
– Acts contrary to the program of the institute.
– With his work and behavior, he violates and harms the reputation of the institute.
– Works against the interests of the institute.
Article 19
The bodies of the institute are:
– The Assembly
– The president
– The executive council
Article 20
The assembly is composed of the founders of the association, with equal voting rights, with the possibility that in the future the number of members of the association will grow proportionally with the increase in the number of members of the association.
The Assembly is the highest body of the association and has the following powers.
– Adopts the statute, amends and supplements it, as well as other acts provided by this statute.
– Decides on the unification, division, transformation, closure, and other changes in the status of the association.
– Elects and dismisses the members of the executive council and the person in charge of representation.
– Decides on other issues that are not within the competence of other authorities.
– Adopts the program of the association, and approves the modification and addition of the program.
– Decides on the financial policy of the association.
– The Assembly meets at least twice a year.
– The assembly is presided over by one of the members of the assembly who is elected by the members of the assembly.
Article 21
The assembly of the association can work if at least five members of the association participate in it.
Article 22
The president of the association:
– Represents the association in the country and outside it
– The mandate of the president is unlimited
– The president presides over the executive council
– Proposes the composition of the executive council
– Makes decisions, announcements, manages the association
– Makes decisions on appeals, requests, etc.
Article 23
In case the president is unable to perform his duties, he replaces one of the members of the executive council, provided that the member of the executive council is also a member of the assembly. The member is elected by a majority vote of the Executive Council.
Article 24
The Executive Council:
– Prepares the sessions of the assembly.
– Prepares and proposes amendments to the statute and other acts adopted by the assembly.
– Implements the policies, conclusions and other decisions adopted by the assembly.
– Manages the property of the association
– Submits the financial reports and the report on the work of the association.
– Performs other tasks provided by this statute.
– Numbers from 5 to 11 members.
Article 25
The Executive Council:
– Proposes amendments and additions to the statute and other acts.
– Executes decisions, recommendations and instructions of the assembly and the president.
– Adopts rules for work in the association.
– Performs other duties given to him by the president and the assembly.
Article 26
The members of the Executive Council are elected and dismissed by the assembly of the Institute with the proposal of the president of the assembly.
Article 27
Amendments and additions to the statute are adopted by the assembly in the manner provided for and adopted by the statute.
Article 28
The general acts of the Institute should be adopted in accordance with the regulations of this statute.
Article 29
This statute enters into force on the day of its adoption.
